What happened
Circle issued Binance 1,237,011 Class A shares at $80.84 each in a private placement that closed September 17, 2026, according to an SEC filing published Tuesday. The purchase price reflected a discount to Circle's market price before the sale. Alongside the equity deal, the companies signed an expanded five-year agreement in which Circle will pay Binance a monthly incentive fee tied to USDC held through its Modular Smart Contract Wallet infrastructure, while Binance promotes USDC on its platform.SECに提出され火曜日に公表された文書によると、Circleは2026年9月17日に完了した私募増資でBinanceにクラスA普通株1,237,011株を1株80.84ドルで発行した。
Why it matters
The arrangement deepens financial ties between Circle and Binance and replaces earlier USDC deals from November 2024 and August 2025. Binance generally cannot sell, transfer, assign, pledge or hypothecate the shares for up to two years, though it retains voting rights, and the restriction could end earlier only if Binance terminates the commercial agreement under certain conditions.
What’s next
